Terms of service

Effective October 24, 2026

These terms are an agreement between you and Holden ERP Solutions Inc., operating as Flat by Close ("we", "us"). By subscribing to or using the service you agree to them.

1. The service

Flat by Close publishes trading signals for ES and NQ futures generated by an automated strategy: free posts on X and, for subscribers, real-time messages in a private Telegram channel, plus daily recaps. The signals are general and impersonal and are the same for every subscriber.

2. Not advice, no account access

Nothing we publish is investment, financial, legal or tax advice, or a recommendation suited to your circumstances. We never access, manage or direct your trading account and never hold your money other than your subscription fee. Every trading decision, and every piece of automation you run, is yours.

3. Your responsibilities

  • You are solely responsible for how you use the signals, including complying with the rules of your broker, platform, or any funded or evaluation account provider, some of which prohibit copying third-party signals.
  • You choose your own position size, risk limits, broker, platform and copier software, and you test any automation on a demo account first.
  • You are 18 or older and legally able to enter this agreement where you live.

4. Results and risk

Results we publish are simulated and carry the disclosures on our disclosures page. Futures trading involves substantial risk of loss. Past performance is not necessarily indicative of future results.

5. Subscription and billing

The real-time plan costs $299 USD per month, billed in advance by Stripe and renewing automatically each month until you cancel. Promotional codes apply only as described at checkout. We may change the price with at least 30 days' notice by email; the new price applies from your next renewal after the notice period.

6. Cancellation and refunds

You can cancel at any time. Cancellation takes effect at the end of the current paid month and you keep access until then. Fees already paid are not refunded, except as set out in our cancellations and refunds policy.

7. Telegram access

Your invite link is for you alone. Sharing, forwarding or reselling signals or invite links, or adding others to the channel, is not allowed and may lead to removal without refund. We remove access when a subscription ends or a payment fails and is not resolved.

8. Availability

We aim to publish every signal promptly, but delivery depends on our systems, our internet connection, Telegram, X and your own software. Signals may be delayed, missed or sent in error, and the strategy may skip sessions or change. We do not guarantee any particular number of signals, timing or result.

9. Limitation of liability

To the extent the law allows, we are not liable for any trading losses, lost profits or indirect damages arising from the service, including from delayed, missed or erroneous signals. Our total liability for any claim is limited to the subscription fees you paid in the three months before the claim.

10. Indemnity

You agree to cover our losses and costs from claims arising out of your breach of these terms or your use of the signals with any broker, platform or account provider.

11. Intellectual property

The signals, recaps, site and brand are ours. You may use the signals for your own trading only.

12. Changes and termination

We may update these terms by posting a new version on this page; material changes are emailed to subscribers before they apply. We may suspend or end the service, or your access, for a breach of these terms. If we end the service for reasons other than your breach, we refund the unused part of the current month.

13. Governing law

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, and disputes go to the courts of Alberta.
